  • Acknowledge that Yuuniti may update the terms at any time without prior notice. Continued use of services constitutes acceptance of such changes.

Definitions and Scope of Agreement

  • Define key terms such as "Client," "Services," "Agreement," "Confidential Information," etc.

  • Specify which services are covered under the terms, including consulting, integration, software development, and technical support.

Provision of Services

  • Outline Yuuniti's obligations, including the services provided, quality expectations, and limitations.

  • Specify the working hours, expected response time, and any limitations based on service tiers (if applicable).

  • State that services are provided on an “as-is” basis, with no guarantee of uninterrupted availability.

Fees and Payment Terms

  • Detail payment structure, including fees, billing cycles, and payment methods.

  • Define late payment terms, penalties, and interest charges on overdue accounts.

  • Mention any refund policy and the circumstances under which a refund may be provided or denied.

Client Obligations and Responsibilities

  • List the client’s responsibilities, including providing accurate information, adhering to deadlines, and maintaining the confidentiality of Yuuniti’s proprietary tools and strategies.

  • Highlight consequences for non-compliance, including suspension of services or termination of the agreement.

Intellectual Property Rights

  • Clarify Yuuniti’s ownership of all software, methodologies, processes, and materials created or used during the provision of services.

  • Prohibit unauthorized copying, distribution, or modification of Yuuniti’s intellectual property.

  • State that any intellectual property developed specifically for the client as part of a deliverable may be transferred under specific terms or licenses.

Confidentiality and Data Protection

Content:

  • Outline obligations for both parties to protect confidential information.

  • Specify data protection standards in compliance with GDPR or other applicable privacy laws.

  • Mention that Yuuniti may store client data in secured environments and take reasonable precautions against data breaches, though data transmission is at the client’s own risk.

Third-Party Integrations

Content:

  • Clarify that Yuuniti is not liable for the performance, security, or reliability of any third-party services or products (e.g., Xero, Plivo, Zapier) integrated with Yuuniti's solutions.

  • Mention that any issues or disruptions caused by third-party services fall under the third party’s liability, not Yuuniti’s.

Limitation of Liability

Content:

  • State that Yuuniti is not liable for any direct, indirect, incidental, or consequential damages arising from the use of services.

  • Limit total liability to the amount paid by the client to Yuuniti over a specific period (e.g., the past six months).

Termination and Suspension of Services

  • Detail conditions under which Yuuniti may terminate or suspend services, including non-payment, misuse of services, or breach of terms.

  • State the process for notice of termination, any grace periods, and potential reactivation fees after suspension.

  • Specify obligations on termination, such as the client’s responsibility to settle outstanding payments.

Dispute Resolution

  • Specify that disputes will first attempt to be resolved through informal negotiation.

Force Majeure

  • Release Yuuniti from liability in cases where services are disrupted due to events beyond control, such as natural disasters, strikes, or government actions.

Amendments and Modifications

  • Reserve the right for Yuuniti to modify or update these Terms and Conditions.

  • Inform clients that any material changes will be communicated, but non-material changes may not require direct notice.

Miscellaneous Provisions

  • Include clauses for severability (in case any part of the terms is found to be unenforceable), entire agreement (this document supersedes all previous agreements), and waiver (failure to enforce a right does not constitute a waiver).
