I. General Remarks
Placing an order signifies acceptance of these General Terms of Sale and any specific conditions applicable to the order. Offers remain valid for fifteen days from the date of presentation unless stated otherwise. Information contained in catalogues, manuals, and price lists may change without notice. Any modifications to these terms require written consent from Yuuniti.

II. The Order
Any customer clauses or special conditions that contradict these terms are not valid unless expressly agreed to in writing by Yuuniti. Upon receiving an order, Yuuniti will acknowledge it and reserves the right to refuse or modify the order within three days. If no refusal is communicated within this timeframe, the order becomes binding. Any changes proposed by Yuuniti during this period are considered accepted unless the customer objects in writing. Changes to a confirmed order will only be finalized upon receipt of the customer's consent or after three days have passed. An accepted order may be canceled by Yuuniti if the customer fails to meet obligations as outlined in Article XIV.

III. Products and Services Ordered
Yuuniti’s proposal and invoice detail the products and services ordered, including hardware, software, and related services.

• Hardware Sales: Yuuniti sells hardware as an authorized distributor. The supplier is responsible for technical specifications and documentation.

• Supply of Software: Yuuniti grants the customer usage rights for the ordered software. The terms of use may be specified in a license attached to the invoice. In the absence of a license, usage rights are limited to operational implementation of a single copy, excluding rights to reproduction or modification. Yuuniti is not liable for software issues or interruptions.

• Related Services: Any maintenance or updates provided by the supplier are considered included with the hardware or software. Additional services, such as installation, require separate orders under the conditions specified in the proposal and invoice.

• Intellectual Property: Purchase does not confer any intellectual property rights. The customer must respect the supplier’s intellectual property rights. Yuuniti is not liable for issues arising from software not supplied by them.

IV. Prices
Goods and equipment are invoiced at the Yuuniti rate applicable on the delivery date, exclusive of taxes and additional charges such as delivery and packaging. Special services not listed will be invoiced as per the proposal.

V. Billing
By accepting these terms, the customer agrees to receive electronic invoices in lieu of paper invoices.

VI. Delivery Times
Delivery times are estimates and depend on suppliers. Yuuniti may suspend or cancel delivery under specific circumstances, including non-compliance with payment terms or failure to provide necessary information. Events of force majeure are also valid reasons for delays or cancellations.

VII. Transport and Delivery
Yuuniti organizes the transport of hardware products within the UK under default DAP Incoterms. Goods are considered delivered at the customer's designated office. The customer must ensure that their premises are prepared for the delivery of heavy equipment.

VIII. Return of Goods
Goods cannot be returned without prior written consent from Yuuniti. Returns must be in original packaging and initiated within eight days of obtaining consent. Transport and re-warehousing costs are the customer's responsibility.

IX. Transfer of Risks and Retention of Title
Goods remain the property of Yuuniti until full payment is received. The customer assumes responsibility for risks from the moment of receipt.

X. Terms of Payment

Payment is required upon order placement or on a specified due date for all customers. Payments can be made via credit card, bank transfer, or other accepted methods.

XI. Failure to PayEach delay in payment of one week incurs a penalty of 10% on the total price. For example, if an order totals €1,000 and payment is delayed by one week, a penalty of €100 will be added, bringing the total amount due to €1,100. If the payment is delayed for an additional week, a further 10% penalty will apply to the new total, resulting in an additional €110 charge, making the total due €1,210. Payments can be made via credit card, bank transfer, or other accepted methods.

XII. Guarantee
Hardware is guaranteed as per the manufacturer’s documentation. The guarantee covers defects that are not caused by customer misuse. Prior approval from Yuuniti is necessary for product returns under guarantee.

XIII. Liability
Customers acknowledge their professional status and understanding of the products. Yuuniti is not liable for incompatibility with existing systems or for any indirect damages.
